Application of Terms
These Terms & Conditions apply to all quotations, sales, and supply of goods by Lumen Loom Ltd ("we", "us", "our") to the purchaser ("you", "your").
Placing an order constitutes acceptance of these Terms.

These terms apply to all quotations, sales, and supply of goods by Lumen Loom Ltd. Please read them carefully before placing an order.

Quotations & Orders
2.1
All quotations are valid for 30 days unless stated otherwise.
2.2
A contract is formed only when we confirm acceptance of your order in writing.
2.3
Many goods supplied by us are manufactured or assembled to order.

Price & Payment
3.1
All prices are exclusive of VAT unless stated.
3.2
Payment terms are as stated on the invoice.
3.3
Trade customers operating on credit terms remain fully liable to pay all invoices once goods have been supplied, regardless of installation status, project delays, or end-client disputes.
3.4
Late payments may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

Delivery & Risk
4.1
Delivery dates are estimates only and not guaranteed.
4.2
Risk passes to you upon delivery of the goods.
4.3
Any shortages or transit damage must be reported within 48 hours of receipt.

Returns & Cancellations
5.1
Goods that are manufactured or ordered specifically for you are non-returnable and non-cancellable.
5.2
This includes bespoke, built-to-order, made-to-specification, or special-import luminaires.
5.3
Trade customers have no automatic right of return once an order has been accepted.
5.4
Where a consumer sale applies, statutory rights under the Consumer Rights Act 2015 remain, except where goods are made to the consumer's specification.

Warranty
6.1
Where applicable, manufacturer warranties will be passed on to you.
6.2
Warranty coverage is strictly limited to the repair or replacement of the luminaire or component only, at our discretion.
6.3
Warranty expressly excludes:
- Labour or installation/removal costs
- Access equipment (scaffolding, lifts, cherry pickers, etc.)
- Making good, redecoration, or finishes
- Contractor call-outs
- Incorrect installation, misuse, or damage
- Fair wear and tear
6.4
Warranty claims must be submitted promptly with supporting information and photographs.

Limitation of Liability
7.1
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or matters which cannot be excluded under UK law.
7.2
Subject to clause 7.1, our total liability shall not exceed the invoice value of the goods supplied.
7.3
We shall not be liable for indirect or consequential losses, including loss of profit or project delay costs.

Installation & Compliance
8.1
You are responsible for ensuring goods are suitable for their intended application.
8.2
Installation must be carried out by suitably qualified persons in accordance with applicable UK regulations.

Title to Goods
9.1
Title remains with Lumen Loom Ltd until payment is received in full.
9.2
We reserve the right to recover unpaid goods where legally permissible.
10
Force Majeure
We shall not be liable for delays or failure caused by events beyond our reasonable control, including supply chain disruption, transport issues, strikes, or material shortages.

Governing Law
These Terms are governed by the laws of England & Wales, and the English courts shall have exclusive jurisdiction.
